　　代理銷售協(xié)議

　　Agency Agreement

　　本協(xié)議于2012年2月9日在巴基斯坦由有關(guān)雙方在平等互利基礎(chǔ)上達(dá)成，按雙方同意的下列條件發(fā)展業(yè)務(wù)關(guān)系。

　　This Agreement is made and entered into by and between the parties concerned on February 9th, 2012 in Lahore on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:

　　1. 協(xié)議雙方 The Parties Concerned

　　甲方 Part A: Wootel Wireless Communication Ltd.

　　2. 委任 Appointment

　　在本協(xié)議簽定后，甲方認(rèn)可乙方在條款4所指的指定代理區(qū)域內(nèi)的獨(dú)家代理的身份， 并給予其對(duì)條款3中提及的甲方的產(chǎn)品進(jìn)行推廣的權(quán)限。乙方接受甲方的委任。

　　Party A hereby appoints Party B as its Exclusive Agent in the authorized territory to solicit orders for commodity stipulate in Article 3 from customers in the territory stipulated in Article 4, and Party B accepts and assumes such appointment.

　　3. 代理商品 Commodity

　　甲方指定生產(chǎn)Wootel全系列產(chǎn)品。

　　Party A appoints whole series of Wootel products.

　　4. 代理區(qū)域 Territory

　　僅限于 拉合爾 In Lahore, only.

　　5. 最低業(yè)務(wù)量 Minimum Turnover

　　乙方同意，在本協(xié)議有效期內(nèi)從上述代理區(qū)域內(nèi)的顧客處招攬的Wootel產(chǎn)品的訂單數(shù) 量從協(xié)議簽訂期起前6個(gè)月不低于_______臺(tái)/月，6個(gè)月之后每月訂單數(shù)量不低于_______臺(tái)/月，產(chǎn)品銷售價(jià)格按照甲方指定售價(jià)不得低于甲方要求價(jià)格，否則甲方有權(quán)單方面取消本協(xié)議并對(duì)由此給甲方帶來的損失要求乙方進(jìn)行賠償或者在其代理區(qū)域增加新的代理。Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement. From a period of

　　agreement, ahead of Six months order quantity shall not be less than______pieces/month, after six month order quantity shall not be less than ______pieces/month. Otherwise,

　　Party A has the right to cancel this agreement unilaterally or to add new agent in the agency area and Party B should compensate the lost to Party A.

　　6. 付款方式 Term of Payment

　　甲方要求乙方所代理產(chǎn)品全部款到發(fā)貨，如有OEM 或ODM 要求需先預(yù)支付30%的 定金，剩余70% 貨款在工廠驗(yàn)貨后，甲方發(fā)貨前由乙方一次性結(jié)清。

　　Payment should be made in advance before each individual delivery. If requirement for OEM or ODM then 30% payment in advance is required, the rest 70% payment should be done after examining finish goods in factory, but before delivery.

　　7. 交貨周期 Delivery Time

　　由雙方協(xié)定制定日期內(nèi)甲方將乙方所需求貨物安排到乙方指定地點(diǎn)，如遇不可抗力因 素，需雙方共同溝通解決問題。

　　Party A should delivery good to specific place appointed by Party B. If any event of force majeure happen that result the delivery cannot be finished, Party A and Party should negotiate to solve it together.

　　8. 商情報(bào)告 Market Report

　　為使甲方充分了解現(xiàn)行市場情況，乙方承擔(dān)至少每周一次或在必要時(shí)隨時(shí)向甲方提供 市場報(bào)告，內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售，有關(guān)的地方規(guī)章的變動(dòng)、當(dāng)?shù)厥袌霭l(fā)展趨勢以及買方對(duì)甲方按照協(xié)議供應(yīng)的產(chǎn)品的品質(zhì)、包裝、價(jià)格等方面的意見。 In order to keep party A well informed of the prevailing market conditions, Party B should undertake to supply Party A at least once a well or at any time when necessary, with market report concerning by this agreement, local market tendency and the buyer’s comments on quality, package, price. etc.. of the goods supplied by Party A under this agreement.

　　9. 市場與售后支持 Advertising and Expenses

　　乙方承擔(dān)本協(xié)議有效期內(nèi)在代理區(qū)域內(nèi)銷售代理商品做廣告宣傳前期費(fèi)用，并向甲方 提供所用于廣告的聲像資料，供甲方事先核準(zhǔn)。

　　During the validity of this agreement, Party B should bear the cost the prophase advertising for the related goods in the authorized territory. All the video materials used for advertisement should be offered to Party A to check in advance.

　　10. 工業(yè)產(chǎn)權(quán) Industrial Property Right

　　在本協(xié)議有效期內(nèi)，為銷售有關(guān)手機(jī)，乙方可以使用甲方擁有的商標(biāo)，并承認(rèn)使用于或 包含于手機(jī)中的任何商標(biāo)專利、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨(dú)家擁有。一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護(hù)甲方權(quán)益。

　　Party B may use the trade-marks owned by Party A for the sale of the mobile phones covered. Herein within the validity of this agreement, and shall acknowledge that all

　　patens, trade-marks copy right or any other industrial property rights used or embodied in the mobile phones shall remain to be the sole properties of Party A. Once any

　　infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter’s right.

　　11. 協(xié)議有效期 Validity of Agreement

　　本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為1年，從2012年2月9日至2013年2月9日，除非做出相關(guān)通知，本協(xié)議期滿后將延長1個(gè)月。

　　This agreement, when duly signed by the both parties concerned shall remain effect for from February 9th, 2012 to December 29th, 2013, and it shall be extended for another 1 month upon expiration unless notice in writing is given to the contrary.

　　12. 協(xié)議的終止 Termination

　　在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權(quán)終止協(xié)議。

　　During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.

　　13. 不可抗力 Force Majeure

　　由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事 件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是受不可抗力事件影響的一方需盡快將發(fā)生的事情通知另一方，并在不可抗力事件發(fā)生的15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。

　　Either party shall not be responsible for failure or delay to perform all or any party of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted controlled, avoided, or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its

　　occurrence in writing as soon as possible and thereafter sends a certificate of the even issued by the relevant authorities to the other party within 15 days after its occurrence.

　　14. 仲裁 Arbitration

　　因履行本協(xié)議所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決。如協(xié)議不能解決爭議，應(yīng)將爭議 提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)華南分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)實(shí)施的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。

　　All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission, South China Sub – Commission and the rules of this Commission shall be applied. The arbitral award shall be final and binding upon both parties.
